Cautionary Notes & Forward-Looking Information
This website may contain certain information that constitutes “forward-looking statements” and “forward-looking information” within the meaning of applicable securities laws (both terms are collectively referred to in these Terms as “forward-looking statements” unless otherwise stated) that involve a number of risks and uncertainties. Forward-looking statements include, but are not limited to: information with respect to the future prices of gold, copper, silver and sulphuric acid; the estimation of mineral reserves and resources; the realization of mineral reserve estimates; the results of economic studies with respect to our projects; the timing and amount of estimated future production; costs of production; capital expenditures; financing requirements; costs and timing of the development of new and existing deposits and smelting operations; implementation, timing and success of drilling and other exploration activities; permitting time lines; the completion and success of acquisitions; currency exchange rate fluctuations; requirements for additional capital; government regulation of mining operations; environmental risks; remediation and reclamation procedures and expenses; title disputes or claims; and limitations on insurance coverage. Forward-looking statements are frequently characterized by words such as “plan,” “expect,” “is expected”, “budget”, “scheduled”, “estimates”, “forecasts”, “outlook”, “project,” “intend,” “believe,” “anticipate”, “would”, “possible”, “goals”, “targets” and other similar words, or statements that certain events or conditions “may” or “will” occur.
All forward-looking statements are based on the opinions, assumptions and estimates of management and qualified persons at the date the statements are made. While the Company considers these assumptions to be reasonable, based on information currently available, they may prove to be incorrect. Forward-looking statements are also subject to a variety of important risks and uncertainties and other known and unknown factors that could cause actual events or results to differ materially from those projected in the forward-looking statements. Such factors include the inherent risks involved in the exploration and development of mineral properties, the uncertainties involved in interpreting drilling results and other geological data, fluctuating metal prices, risks relating to the operations of mines and smelting activities, risks inherent to operating in foreign countries such as Bulgaria, Ecuador and Namibia, and other factors described in the Company’s most recent Annual Information Form under the heading “Risk Factors” and other continuous disclosure filings which have been filed electronically at www.sedar.com. Except as required by applicable law, the Company disclaims any obligation to update or revise any forward-looking statements if circumstances or management’s estimates or opinions should change. If the Company updates any one or more forward-looking statements, no inference should be drawn that the Company will make additional updates with respect to those or other forward-looking statements. Forward-looking statements should not be read as a guarantee of future performance or results, and the reader is cautioned not to place undue reliance on forward-looking statements. All of the forward-looking statements contained in this website are qualified by these cautionary statements.

Cautionary Note to U.S. Investors
This website has been prepared in accordance with the requirements of Canadian securities laws, which differ from the requirements of United States securities laws. Canadian reporting requirements for disclosure of mineral properties are governed by NI 43-101.
The United States Securities and Exchange Commission (“SEC”) adopted amendments to its disclosure rules to modernize the mineral property disclosure requirements for issuers whose securities are registered with the SEC under the Securities Exchange Act of 1934, as amended. These amendments became effective February 25, 2019 (the “SEC Modernization Rules”) with compliance required for the first fiscal year beginning on or after January 1, 2021. The SEC recognizes estimates of “measured mineral resources”, “indicated mineral resources” and “inferred mineral resources”. In addition, the definitions of “proven mineral reserves” and “probable mineral reserves” are “substantially similar” to the corresponding Canadian Institute of Mining, Metallurgy and Petroleum (“CIM”) – Definition Standards adopted by CIM Council on May 10, 2014 (the “CIM Definition Standards”), incorporated by reference in NI 43‐101.
Readers are cautioned that while the above terms are “substantially similar” to the corresponding CIM Definition Standards, there are differences in the definitions under the SEC Modernization Rules and the CIM Definition Standards. Accordingly, there is no assurance any mineral reserves or mineral resources that the Company may report as “proven mineral reserves”, “probable mineral reserves”, “measured mineral resources”, “indicated mineral resources” and “inferred mineral resources” under NI 43‐101 would be the same had the Company prepared the reserve or resource estimates under the standards adopted under the SEC Modernization Rules.
Readers are also cautioned that while the SEC recognizes “measured mineral resources”, “indicated mineral resources” and “inferred mineral resources”, it should not be assumed that any part or all of the mineralization in these categories will ever be converted into a higher category of Mineral Resources or into Mineral Reserves. Mineralization described using these terms has a greater amount of uncertainty as to their existence and feasibility than mineralization that has been characterized as reserves. Accordingly, readers are cautioned not to assume that any “measured mineral resources”, “indicated mineral resources” or “inferred mineral resources” that the Company reports are or will be economically or legally mineable. Further, “inferred mineral resources” have a greater amount of uncertainty as to their existence and as to whether they can be mined legally or economically. Therefore, readers are also cautioned not to assume that all or any part of the “inferred mineral resources” exist. In accordance with Canadian securities laws, estimates of “inferred mineral resources” cannot form the basis of feasibility or other economic studies, except in limited circumstances where permitted under NI 43‐101.
For the above reasons, information contained on this website containing descriptions of the Company’s mineral deposits may not be comparable to similar information made public by United States companies subject to the reporting and disclosure requirements under the United States federal securities laws and the rules and regulations thereunder.
-
Non-GAAP Measures
This website may contain certain disclosures in respect to measures that are non-GAAP financial measures or ratios. These measures have no standardized meaning under International Financial Reporting Standards (“IFRS”) and therefore may not be comparable to similar measures employed by other companies. For more information on these measures or ratios, including a reconciliation to the nearest IFRS measures (if applicable), you should refer to the Company’s management’s discussion & analysis available at https://www.sedarplus.ca/.
-
Termination
If you breach any provision of these Terms, you may no longer use this website. The Company may, at any time, for any reason and without any prior notice or liability, change, suspend or terminate this website or any part of it or withdraw your permission to use this website. If these Terms or your permission to use this Website is terminated for any reason, these Terms will nevertheless continue to apply and be binding upon you indefinitely in respect of your prior use of this website.
-
General
No information included herein shall be deemed to be incorporated by reference into any of DPM’s regulatory filings, unless expressly indicated in any such filings. In addition, no information shall be incorporated by reference into this website, unless otherwise specified.
These Terms, your access to and use of this website and Content, and any claims made in law or equity against the Company or our directors, officers, employees and representatives arising out of such access and/or use or otherwise, are governed by and construed in accordance with the laws of Ontario and the laws of Canada applicable, without regard to conflict of laws provisions.
If a court of competent jurisdiction finds any part of these Terms to be unlawful, void or unenforceable, then that part is severable and will not affect the validity and enforceability of the remaining Terms.
